These terms govern your use of MooPayroll, the payroll and HR service operated by Moo Apps Systems Sdn. Bhd. (Malaysia). By opening an account, or by letting your employees use it, you accept them on behalf of your company.
1. Who your contract is with
MooPayroll is delivered through a network of partner agencies. In almost every case you sign up through an agency, they invoice you, and they are your first point of contact for everything. They do this on our behalf for billing purposes; the software itself, and the licence to use it, come from Moo Apps Systems Sdn. Bhd. under these terms.
If your agency stops trading, changes, or you move to another one, your account and its history remain yours and stay in place. Where you have no agency, you deal with us directly and these terms apply unchanged.
2. Your account
- You are responsible for who you give access to, and for what they do with it. Keep administrator accounts to the people who genuinely need them.
- Sign-in credentials are personal. Do not share a login between people — every action is recorded against the account that performed it, and a shared login makes your audit trail worthless.
- Tell us, or your agency, promptly if you believe an account has been compromised.
- You must give accurate company and contact details, and keep them current — statutory output depends on them.
3. What you may not do
- Use the service to process data you have no lawful right to process.
- Resell, sublicense or white-label the service without a written partner agreement with us.
- Attempt to access another company's data, probe or attack the service, or bypass access controls or usage limits.
- Upload malicious code, or content that is unlawful in Malaysia.
- Copy, decompile or reverse-engineer the software, except to the extent Malaysian law says you may regardless of this clause.
4. Your data
Everything you put into MooPayroll — your employees, pay records, documents and settings — remains your data. You are the data user (controller) under Malaysia's Personal Data Protection Act 2010. We are the data processor: we store and process it on your instructions so that the service works, and for nothing else. We do not sell it, and we do not use it for advertising.
How that data is handled in detail — what is collected, who it is shared with, how long it is kept — is set out in our Privacy Policy, which forms part of these terms.
Each company's data is isolated from every other company's. Your agency can see your account only to the extent you have granted them access, and you can withdraw it.
5. Payroll figures are yours to verify
You must review each payroll before you commit it, pay anyone, or submit anything to a statutory body. You remain responsible for your filings and payments. We are not liable for penalties, interest or underpayments arising from data you entered, settings you chose, or a submission you made — though if the fault is ours, we will fix the software and help you correct the affected runs.
6. Subscriptions, invoicing and payment
- Subscriptions are per company, priced by employee band, and billed monthly or yearly in advance.
- Where you came through an agency, the agency invoices you and sets the payment terms. Queries about an invoice go to them.
- Trials, where offered, run for the stated period. At the end of a trial the account continues only if a subscription is taken up.
- If your employee count moves into a higher band, the subscription moves with it from the next billing period.
- Fees already paid are not refunded for a period you have started, unless the law requires it or we agree otherwise in writing.
- We may change prices with at least 30 days' notice, taking effect at your next renewal. Notice reaches you through your agency.
- Persistent non-payment may lead to suspension — see clause 9.
7. Availability and maintenance
We aim to keep MooPayroll available at all times, and we schedule maintenance outside Malaysian business hours wherever we can. We do not promise uninterrupted service: hosting providers, networks and third parties fail, and some outages are outside our control. Planned maintenance that will interrupt the service is announced in advance.
8. Support
Day-to-day support comes from your agency, who know your setup. Where something is a fault or limitation in the platform, they escalate it to us and we deal with it. This is described in full on the How MooPayroll works page.
9. Suspension and termination
You may stop using the service at any time; cancellation takes effect at the end of the period you have paid for.
We may suspend or terminate an account where:
- fees remain unpaid after written reminders;
- the account is being used in breach of clause 3;
- continued operation would put other customers or the platform at risk;
- we are required to by law.
Except where the law or a security emergency prevents it, we will give notice and a chance to put things right first.
After termination you may export your data for 90 days. After that it is deleted from live systems, and from backups as those backups age out on their normal cycle. Ask before the 90 days are up if you need a copy.
10. Intellectual property
The software, its design and its documentation belong to Moo Apps Systems Sdn. Bhd. You get a non-exclusive, non-transferable right to use the service for your own business for as long as your subscription runs. Nothing here transfers ownership of the software to you, and nothing here transfers ownership of your data to us.
11. Confidentiality
Each side will keep the other's confidential information confidential, and use it only for the purpose it was shared. This does not cover information that is already public, was already known, or must be disclosed by law — and where the law compels disclosure, we will tell you unless we are forbidden to.
12. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited under Malaysian law.
Subject to that: neither side is liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill. Our total liability to you in any twelve-month period is limited to the subscription fees attributable to your account for that period.
The service is provided as it stands. We do not warrant that it is free of defects or fit for a particular purpose beyond what is described in our documentation.
13. Changes to these terms
We may update these terms. Material changes are notified at least 30 days in advance, through your agency or by e-mail, and the effective date above is updated. If you do not accept a change, you may cancel before it takes effect. Continuing to use the service afterwards means the updated terms apply.
14. Governing law
These terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute arising from them. We would much rather sort a problem out by talking to you first — raise it with your agency, or with us directly, before it becomes one.
